1. General Provisions and Acceptance of Terms
1.1. This Terms of Use Agreement (hereinafter referred to as the "Agreement") regulates the legal relationship between Valtron LLC (hereinafter referred to as the "Company") and any individual or legal entity accessing and utilizing the website www.valtron-actuators.ru (hereinafter referred to as the "User").
1.2. The information contained on this Website does not constitute a legally binding public offer obligating the Company to enter into supply or manufacturing contracts. This Agreement serves as an offer exclusively regarding the granting of rights to use the informational materials provided on the Website.
1.3. By accessing or using the Website, the User unconditionally accepts and agrees to be bound by the terms and conditions set forth in this Agreement.
2. Status of Provided Information
2.1. All technical, operational, commercial, and other information presented on the Website (including, but not limited to: technical catalogs of electromechanical actuators, product data sheets, drawings, specifications, and price lists) is provided strictly for informational and reference purposes.
2.2. The Company reserves the unencumbered right to unilaterally modify the design, technical specifications, configuration, and pricing of the manufactured equipment without prior notice. The definitive parameters of the equipment shall be subject to mandatory mutual agreement by the Parties through the execution of specifications and technical data sheets within the framework of separate definitive agreements.
3. Intellectual Property Rights
3.1. The exclusive rights to the Website as a whole, as well as to any intellectual property objects posted thereon (including text materials, design elements, graphic images, logos, technical documentation, and databases), are vested in the Company and are protected in accordance with the applicable intellectual property legislation of the Russian Federation.
3.2. The use of Website materials is permitted solely for non-commercial (informational) purposes. Any copying, reproduction, modification, distribution, or public display of the Website's materials without the prior explicit written consent of the copyright holder is strictly prohibited and shall result in civil, administrative, and criminal liability.
4. Limitation of Liability

5. Governing Law and Dispute Resolution
5.1. The relationship of the Parties arising from this Agreement shall be governed by and construed in accordance with the substantive and procedural laws of the Russian Federation.
5.2. Any disputes and disagreements arising in connection with the execution of this Agreement shall be resolved through a mandatory pre-trial claim procedure. The response time for a written claim is thirty (30) calendar days. Should the Parties fail to reach an amicable settlement, the dispute shall be submitted to the exclusive jurisdiction of the competent Arbitration Court at the location of the Company (if the User is a legal entity or an individual entrepreneur) or the court of general jurisdiction at the location of the Company (if the User is an individual).
